Activist investor Alta Fox pushes to replace Hasbro chairman -Breaking

(Reuters) – Alta Fox Capital Management LLC seeks to oust Hasbro Inc (NASDAQ:) The chairman and two directors of the board of the toymaker are being pushed by activist investor. This includes a spinoff unit called Wizards of the Coast.

Alta Fox was founded by Connor Haley, a veteran hedge fund investor, four years ago and holds a 2.5% stake at Hasbro. It said that Rich Stoddart is not qualified to serve as the chairman.

Hasbro responded by asking shareholders to reject the nominees for the board of activist directors, saying that they will only “disrupt and distract” the company.

Stoddart is a member of Hasbro’s Board since 2014. He was appointed chairman in late 2014, after the passing of Brian Goldner.

Alta Fox in February pushed Hasbro to consider spinning off its Wizards of the Coast unit, which publishes “Dungeons & Dragons” and “Magic: The Gathering”, to boost its lagging share price, something the company has said it will not do.

Alta Fox offered Hasbro a settlement to allow it to remove one of its nominees from the board, and to pick its own second member.
