Elon Musk wins shareholder lawsuit over Tesla’s $2.6 billion SolarCity acquisition

Elon MuskA shareholder lawsuit was won TeslaSolarCity’s acquisition for $2.6 billion was ruled by a Delaware Chancery Court judge.

Tesla shareholders claimed the purchase of the solar contractor was an act of bailout. Musk, at that time sitting on both the companies’ boards, had pushed for it. Tesla shareholders also claimed Musk controlled Tesla’s board, despite the fact that he was absent from negotiations regarding SolarCity.

Musk might have to fork over $2 billion if he had lost.

Musk denies that he exerted any pressure on Tesla to complete the transaction. Musk claimed that Tesla was able to combine its battery operations with Solar City’s photovoltaics facilities through the merger.

Musk claimed that the SolarCity agreement was part of his master plan, which he wrote in 2006 to speed up the rise of sustainable energy.

A shareholder derivative action was filed in the case. This is where investors sue corporations on behalf of individuals or funds. If the plaintiffs won, the proceeds of the lawsuit would have gone directly to Tesla instead of to those who brought the case.

Investors skeptical of the deal when Tesla proposed it in June 2016, with the stock plunging more than 10% on the announcement.
