The U.S. SEC Stops Registration of American CryptoFed’s Two Digital Tokens
  • American CryptoFed DAO LLC has been subject to proceedings by the SEC.
  • SEC revealed that the company failed to supply required information in order for two tokens to be registered.
  • American CryptoFed’s registration of the two tokens is pending verdict.

American CryptoFed DAO LLC is the subject of litigation by Securities and Exchange Commission. According to a press release in respect to the proceedings, the SEC says they have stopped the effectiveness of the Wyoming-based organization’s registration of two digital tokens as securities.

According to the SEC, American CryproFed indicted a fraudulent and defective registration document that was indexed on September 16th, 2021. This form, also called Form 10, is claimed by the SEC to claim that two digital tokens were registered as equity securities. The two tokens in question are called the “Ducat” and “Locke” tokens.

However, the SEC claims Form 10 failed to include certain information required about these tokens. Besides that, it didn’t disclose about American CryptoFed businesses, audited financial information, management, and financial condition.

On top of that, Form 10 also contains false statements, and there were several omissions and irregularities about whether “Ducat” and “Locke” tokens are securities. The SEC further disclosed American CryptoFed’s supposed intention to distribute, upon the effectiveness of its Form 10, its “Locke ” tokens to the public using a Form S-8.

Let me clarify: Form S-8 is the registration form for securities offered by employees to them through their employee benefits plans. On that note, CryptoFed failed to declare that the “Locke” tokens may not legally be distributed pursuant to a Form S-8.

Speaking on the matter, Chief of the SEC Enforcement Division’s Cyber Unit, Kristina Littman says,

Public issuers who seek to raise capital from investors must give the necessary information to enable them to inform their potential customers. American CryptoFed has made misleading statements, and it failed to disclose the legally required information on its registration form.

At the moment, American CryptoFed’s registration of the two tokens is awaiting a verdict by an administrative law judge on whether to reject or suspend the registration of the tokens. Additionally, the SEC’s Office of Investor Education and Advocacy published an Investor Alert warning investors about claims that the SEC has approved offerings.
