U.S. SEC issues guidance around how listed companies disclose share-based compensation to executives -Breaking

WASHINGTON, (Reuters) – The U.S. Securities and Exchange Commission issued Monday guidance for listed companies on how to correctly recognize and disclose shares-based compensation arrangements to executives prior to company earnings and other release.

According to regulators, the new guidance outlines how businesses must evaluate the potential impact of’spring-loaded Awards’ on market-moving releases.

According to staff guidance, the agency stated that companies should not give spring-loaded awards to people who mistakenly believe they don’t have to account for any additional value from recipients due to anticipated material information announcements.
