Office Depot parent delays spin-off after new offer for consumer business -Breaking

(Reuters] ODP Corp stated Friday that it delayed previously announced plans for a split into two publicly traded companies in order to evaluate sale opportunities for its consumer business. Its shares rose 10% on Friday.

The first offer, made by USR Parent Inc (parent of Staples) in June, was $1 billion cash.

ODP is the parent company of Office Depot (NASDAQ:) OfficeMax and brands said they received another offer in December without disclosing terms or the identity of the parties.

ODP stated in a statement that “The company” has decided to defer further work regarding the separation to avoid potentially unneeded separation costs and instead focus on potential sales of the consumer businesses.

ODP stated in May that it would complete the spin-off of its distribution platform (which schools and offices use to purchase supplies) into a separate business in the first half this year.

Sycamore expressed interest and reiterated their desire to continue talks. The Sycamore group also stated its willingness to invest in Sycamore’s unit, which includes Office Depot, OfficeMax, and OfficeMax stores. They are currently evaluating the regulatory impact of potential acquisitions.

ODP announced on New Year’s Eve that it sold CompuCom Systems, which offers technology support to businesses, to Variant Equity, an affiliate of the private equity firm Variant. The deal was valued at up to $305 Million.
